1. Eligibility & Application Requirements

• Minimum Order Requirements: Initial minimum: $5,000 USD. Reorder minimum: $2,000 USD per transaction.
• Required Documentation: Business license or incorporation docs, EIN/tax ID, resale certificate, company website and email, optional research credentials.
• Review & Approval: All applications are subject to compliance screening and approval at our sole discretion.

2. Pricing, Payment, & Confidentiality

• Wholesale Pricing: Tiered and subject to change based on volume, product category, and agreement.
• Payment Terms: Prepay only. Accepted: Credit Card, ACH, Wire, Zelle. Net terms available via signed agreement only.
• Confidentiality: Pricing, terms, and communications must remain strictly confidential. Disclosure may result in immediate termination.

3. Shipping & Fulfillment

• Lead Times: 2–5 business days standard. Larger or customized orders may take longer.
• Cold Chain: Select products ship insulated. Buyer is responsible for ensuring prompt, safe delivery.
• Risk of Loss: Risk transfers to Buyer upon carrier pickup.

4. RUO Compliance & Use Restrictions

• RUO Designation: All products are for Research Use Only. Not for human, clinical, veterinary, or diagnostic applications.
• Resale Controls: Buyer must ensure downstream parties are compliant research entities. No consumer-facing sales, implied use, or medical marketing allowed.
• Label Integrity: No repackaging, relabeling, or rebranding without written consent. Original labels, warnings, and batch numbers must remain intact.

5. Warranties, Liability & Indemnification

• No Warranties: All products are sold as-is for RUO identity and stated purity only.
• Risk Assumption: Buyer assumes full legal and operational responsibility for use, handling, and redistribution.
• Indemnification: Buyer agrees to indemnify and hold harmless LuvionBio LLC, its owners, employees, and affiliates from any damages, claims, or regulatory actions resulting from your use or resale of our products.

6. Termination & Enforcement

• Immediate Termination: LuvionBio may suspend or terminate access for breach of terms, non-payment, reputational risk, product misuse, or regulatory exposure.
• After Termination: All outstanding balances are immediately due. Pending orders may be cancelled at our discretion.

7. Violations & Legal Action

• Violations may result in: account cancellation, revocation of pricing or program access, and legal enforcement to recover damages.
• LuvionBio enforces a zero-tolerance policy for misuse, misbranding, or implied human use of any RUO product.
